COMMERCIAL LAW II – EU FINANCIAL MARKET LAW

This course introduces to the general issues of European Union financial markets law. It is divided into two parts. The first one provides the legal and institutional framework on the investment services and focuses its attention on the regulation of the public offerings, the prospectus rules, the conduct of business rules and the protection of the retail investors. As regard to the financial exchanges, it focuses on the regulation of the trading, clearing and settlement as essential part of the financial infrastructures. The second part is designed to provide a necessary understanding of the law of the listed companies and the protection of minorities.

EU INSURANCE LAW

This course introduces to the general issues of insurance law. It is divided into two parts. The first one provides the legal and institutional framework on the insurance and focuses its attention on the rationale of public regulation of the insurance activity. The second part is designed to provide an essential understanding of the legal concepts of the insurance contract law and focuses on the main classes of insurance policies.

EUROPEAN UNION FINANCIAL AND INSURANCE MARKETS REGULATION

This course deals with the fundamentals of the European financial markets and insurance regulation, with a focus on the regulation of insurance and investment services. Reference are made to the main European directives and legal texts concerning the financial and insurance market. The purpose of the course is to provide an overall view of the contents and scope of EC regulation of financial and insurance markets regulation. The course also deals with institutional aspects of EC insurance financial markets law, focusing on the law making process and, particularly, on the Lamfalussy method and its implications for the supervisory and enforcement activities performed by the National Competent Authorities.
